Terms & Conditions

1. Payment terms shall be Net 30 days with approved credit. Late payments shall have a late fee of 1-1/2% per month of the unpaid balance added to the invoice.



2. The following terms apply for shipping outside the continental US and orders which a US Freight Forwarder is involved; Payment must be paid in full at the time the order is placed. An estimated ship date will not be released until the order is paid in full.



3. All orders above $20,000.00 must pay 25% of the order prior to shipping. The remainder will be paid with Net 30 Terms. It is the customer's responsibility to pay the deposit in a timely manner as to not delay the shipment.



4. Unless noted otherwise quotations shall be valid for 90 days time. We reserve the right to withdraw or modify any quotation after 90 days time. All prices quoted shall be exclusive of lamps unless specifically added.



5. Shipments for quotations under $2000.00 shall be FOB factory. Orders over $2000.00 shall be FOB distributor by domestic ground freight within the Continental US. For Alaska, Hawaii, Puerto Rico and all foreign shipments freight will be prepaid by ARC and billed to the buyer unless other arrangements have been made in writing and agreed to by all parties. ARC is not responsible for any tariffs, fees, taxes, or freight forwarding fees which is the responsibility of the purchaser.



6. All goods shall remain the property of ARC until paid for in full. We reserve the right to collect equipment for any unpaid balance.



7. Items shown in our catalog, advertising literature, or web sites may at times show optional or discontinued items. We reserve the right to make changes to the products that do not alter optical performance.



8. We reserve the right to adjust prices to reflect current production at any time.



9. We reserve the right to modify or improve the quality or functionality of the products offered at any time.

10. All damage to shipments made whether the damage is concealed or otherwise shall be the responsibility of the carrier. All packages should be checked carefully upon receipt for concealed damage.



11. Shipping dates shall be approximate and ARC shall not be responsible for damages either direct, indirect, consequential, special, or incidental resulting from late shipments. Further, ARC shall not be responsible for any delays caused by force majeur including but not limited to an act of God, strikes, wars, embargoes, or conditions beyond our control.



12. The warranty period exclusive of any warranty on components used shall be for a period of 12 months for electrical items and 60 months prorated for mechanical items from date of installation to the original owner. No other warranties are expressed or implied and shall be in strict adherence to all applicable State and Federal laws.



13. Under the terms of our warranty period, at the sole discretion of ARC, we reserve the right to replace or correct any deficiencies and our liability shall not exceed the price of the goods. Further the buyer indemnifies and holds harmless ARC, its employees, officers, and agents against any and all claims resulting from the misuse of our products.



14. The terms and conditions included herein shall be governed by the laws of the State of Florida and any such remedy or claim thereof shall be resolved in by a State or Federal Court of competent jurisdiction in Tampa, Florida and the buyer herby irrevocably submits to the exclusive jurisdiction of such courts.



15. All orders must be acknowledged by ARC and the acceptance notice must be issued for an order take place at the agreed to price and delivery date.



16. ARC sells all products through independent sales representatives. ARC is not liable for any damages due to, but not limited to, neglect, verbal or other promises or misrepresentation by an independent sales agent. For a buyer located in a territory not controlled by an independent sales representative the factory shall handle the transaction.



17. All returns shall be authorized by the factory and shall be subject to a restocking fee of 25% of the value of the goods plus the costs of shipping, if any.
